These Terms of Use govern your access to and use of Holy Stone websites, online stores, product pages, applications, digital services, customer support channels, product registration services, warranty services, downloadable materials, and other online services that link to these Terms collectively, the “Services.”
Please read these Terms carefully. By accessing or using any part of the Services, creating an account, placing an order, registering a product, submitting a warranty request, downloading materials, or otherwise interacting with the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. About These Terms
These Terms form a legally binding agreement between you and the Holy Stone entity that owns or operates the applicable Service, sells the applicable product, or is identified in your order confirmation, invoice, product registration record, warranty confirmation, applicable website footer, or other transaction documentation. In these Terms, that entity is referred to as “Holy Stone,” “we,” “us,” or “our.”
Additional policies, notices, product terms, promotional terms, warranty terms, return policies, shipping policies, privacy notices, cookie notices, and instructions may apply to particular products, purchases, features, or Services. Those additional terms are incorporated into these Terms by reference. If additional terms conflict with these Terms, the additional terms will control only for the applicable product, purchase, feature, or Service.
2. Eligibility and Use by Minors
You must be legally capable of entering into a binding agreement in your jurisdiction to use the Services independently. If you are under the age of legal majority where you live, you may use the Services only with the involvement, supervision, and consent of a parent or legal guardian.
Products intended for children must be selected, assembled, charged, maintained, and operated in accordance with the applicable age recommendations, safety instructions, product manuals, and adult supervision requirements. Product age recommendations do not replace the responsibility of a parent or guardian to determine whether a product is appropriate for a particular child.
3. Changes to These Terms
We may revise these Terms from time to time to reflect changes to the Services, our business practices, applicable laws, regulatory requirements, security needs, or other operational reasons. The updated Terms will be posted through the applicable Service with a revised “Last Updated” date.
Changes will apply prospectively from the date stated in the updated Terms unless applicable law requires otherwise. Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms. Material changes will be communicated through reasonable means where required by law.
4. Accounts and Account Security
Some Services may allow or require you to create an account. You agree to provide accurate, current, and complete information and to keep that information updated. You must not impersonate another person, create an account using information you are not authorized to use, or create an account for fraudulent, unlawful, or misleading purposes.
You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account, except to the extent caused by our failure to use reasonable security measures. You must notify us promptly if you believe your account or credentials have been lost, stolen, compromised, or used without authorization.
We may require reasonable verification before restoring account access, processing certain requests, changing account information, or disclosing account-related information.
5. Permitted Use of the Services
Subject to these Terms, Holy Stone grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for lawful personal or internal business purposes.
You may view, download, or print product manuals, safety instructions, warranty materials, and other downloadable content solely for lawful use with the applicable Holy Stone product or for personal reference. No other rights are granted except as expressly stated in these Terms.
6. Prohibited Conduct
You must not use the Services to:
1. Violate any applicable law, regulation, court order, contractual obligation, intellectual property right, privacy right, publicity right, or other legal right.
2. Submit false, misleading, fraudulent, defamatory, abusive, threatening, obscene, discriminatory, infringing, or otherwise unlawful content.
3. Gain or attempt to gain unauthorized access to the Services, another user’s account, computer systems, servers, networks, databases, or security-related features.
4. Introduce malware, malicious code, viruses, corrupted files, automated attacks, denial-of-service activity, or other harmful technology.
5. Scrape, crawl, index, harvest, extract, copy, monitor, or collect content or data through automated means except through ordinary search engine indexing or with our prior written permission.
6. Reverse engineer, decompile, disassemble, decode, modify, adapt, translate, or attempt to derive source code from any part of the Services, except where applicable law expressly permits such activity.
7. Remove, conceal, modify, or interfere with copyright notices, trademarks, security features, technical protections, product identifiers, or rights-management information.
8. Use the Services to distribute unsolicited advertising, spam, fraudulent promotions, chain messages, or deceptive commercial communications.
9. Assist, encourage, permit, or enable another person to engage in any activity prohibited by these Terms.
7. Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, images, compatibility information, operating times, transmission distances, flight times, charging times, package contents, availability information, and other product details. However, actual product appearance, color, packaging, accessories, performance, range, battery life, and operating results may vary due to production updates, configuration, environmental conditions, user operation, local interference, device compatibility, software versions, measurement methods, and other factors.
Images, videos, diagrams, renders, and demonstrations may include simulated screens, edited footage, optional accessories, multiple product configurations, or environments selected for demonstration purposes. Unless expressly stated otherwise, accessories, mobile devices, memory cards, display equipment, decorations, and other items shown in promotional materials may not be included.
We may update, modify, discontinue, or replace products, components, packaging, accessories, software, specifications, descriptions, and availability without prior notice, subject to applicable law and existing accepted orders.
8. Product Safety and Responsible Operation
You are responsible for reading and following all product manuals, quick-start guides, warnings, battery instructions, charging instructions, maintenance requirements, age recommendations, and safety information before using a Holy Stone product.
You are also responsible for operating products safely and lawfully, maintaining appropriate supervision, inspecting products before use, using compatible parts and accessories, and stopping operation if a product is damaged, behaving unexpectedly, overheating, producing unusual odors or sounds, or otherwise appears unsafe.
For drones and other remotely operated products, you are responsible for complying with all applicable aviation rules, registration requirements, identification requirements, airspace restrictions, privacy laws, local ordinances, insurance requirements, and operational limitations. You must not operate a product in a manner that creates an unreasonable risk to people, animals, property, aircraft, vehicles, infrastructure, or the environment.
Information provided through the Services is general product information and is not a substitute for official aviation, regulatory, legal, safety, or emergency guidance applicable to your location and intended use.
9. Orders and Order Acceptance
Submitting an order is an offer to purchase the selected products under these Terms and any additional terms displayed during checkout. An automated order confirmation acknowledges receipt of your order but does not necessarily mean that your order has been accepted.
We may accept, reject, limit, or cancel an order for legitimate reasons, including product unavailability, pricing or description errors, suspected fraud, payment authorization issues, shipping restrictions, legal or regulatory restrictions, unusually large quantities, resale activity, misuse of promotions, or other circumstances permitted by law.
If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method or through another legally permitted method. Your statutory cancellation rights, where applicable, are not affected.
10. Prices, Taxes, and Payment
Prices, currencies, discounts, taxes, duties, shipping charges, and other fees will be displayed during the purchasing process where applicable. Prices and availability may change without notice before an order is accepted.
You agree to provide valid payment information and authorize the applicable payment provider to charge all amounts associated with your order. Payment processing may be performed by independent payment service providers subject to their own terms and privacy practices.
Obvious pricing, promotional, technical, or typographical errors are not binding. If an error affects an order, we may contact you for instructions, cancel the affected order, or provide another remedy permitted by law.
11. Promotions and Discount Codes
Promotions, coupons, bundles, gifts, discounts, rebates, and promotional codes may be subject to separate eligibility requirements, dates, geographic limits, product exclusions, quantity limits, minimum purchase requirements, redemption limits, and other conditions.
Unless expressly stated otherwise, promotions cannot be combined, have no cash value, cannot be resold or transferred, and apply only during the stated promotional period. We may refuse or cancel a promotion obtained or used through fraud, unauthorized distribution, technical manipulation, multiple-account abuse, or other misuse.
12. Shipping, Delivery, Title, and Risk
Shipping and delivery estimates are provided for convenience and are not guaranteed unless expressly stated otherwise. Delivery may be affected by carrier delays, customs procedures, weather, holidays, remote locations, address issues, product restrictions, force majeure events, or other circumstances outside our reasonable control.
You are responsible for providing a complete and accurate delivery address and for reviewing delivery information promptly. Title and risk of loss transfer as provided by applicable law and the shipping terms presented during checkout. Nothing in this section limits mandatory consumer rights relating to delivery, loss, or damaged goods.
13. Returns, Refunds, and Product Warranties
Returns, refunds, replacements, repairs, and warranty service are governed by the return policy, refund policy, limited warranty, seller terms, and other conditions applicable to the product and place of purchase.
Products purchased through an independent retailer, marketplace, distributor, or reseller may need to be returned to or serviced through that seller in accordance with the seller’s policies. Proof of purchase, product information, serial numbers, photographs, videos, diagnostic information, shipping information, or other reasonable documentation may be required to evaluate a request.
Nothing in these Terms excludes, restricts, or replaces any statutory warranty, legal guarantee, cooling-off right, cancellation right, refund right, or other mandatory consumer protection that cannot lawfully be excluded or limited.
14. Third-Party Sellers, Marketplaces, and Services
The Services may link to or display products, content, applications, payment services, delivery services, social networks, app stores, marketplaces, retailers, distributors, or other services operated by third parties. A link or reference does not mean that Holy Stone controls or endorses every aspect of the third-party service.
Purchases made through Amazon, another marketplace, an independent retailer, or a third-party seller are transactions between you and the seller identified during the purchase process. The third party’s terms, pricing, payment practices, shipping conditions, return policies, warranties, and privacy practices may apply.
Holy Stone is not responsible for third-party websites or services that we do not own or control. You access and use those services at your own discretion and should review their applicable terms and privacy notices.
15. Mobile Applications, Software, and Updates
Certain products may use mobile applications, firmware, software, cloud features, maps, location services, device permissions, or third-party platforms. Compatibility may depend on your mobile device, operating system, hardware, network connection, regional availability, application version, and other technical factors.
We may release updates, patches, bug fixes, security improvements, compatibility changes, or feature modifications. Some updates may be installed automatically where permitted by your settings and applicable law. Failure to install an available update may affect security, compatibility, performance, or access to certain features.
Application store providers and third-party platform operators are not parties to these Terms unless expressly stated in their own terms. Their platform rules may also apply to your use of an application.
16. Intellectual Property Rights
The Services and their content, including text, product names, logos, trademarks, graphics, photographs, videos, audio, illustrations, icons, software, code, interfaces, layouts, designs, databases, manuals, downloadable files, and compilations, are owned by Holy Stone, its affiliates, licensors, or other rights holders and are protected by intellectual property and unfair competition laws.
Holy Stone names, logos, product names, slogans, trade dress, and related marks may not be used without prior written authorization, except as permitted by applicable law. No license or ownership right is transferred to you except for the limited right to use the Services expressly granted by these Terms.
You must not reproduce, distribute, publicly display, publicly perform, publish, sell, license, create derivative works from, or commercially exploit any part of the Services without authorization from the applicable rights holder.
17. User Content, Reviews, and Submissions
The Services may allow you to submit reviews, comments, questions, photographs, videos, suggestions, feedback, support materials, warranty materials, contest entries, or other content, collectively “User Content.” You retain ownership of rights you hold in your User Content.
By submitting User Content, you represent that you have all rights and permissions necessary to submit it and that it does not violate these Terms or the rights of another person. You must not submit personal information about another person without lawful authority.
You grant Holy Stone and its service providers a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, format, adapt, translate, publish, display, distribute, and otherwise use your User Content as reasonably necessary to operate, improve, secure, support, and promote the Services and products, subject to applicable law and our Privacy Policy.
We may moderate, reject, remove, restrict, or preserve User Content where reasonably necessary to enforce these Terms, protect users, respond to legal requests, prevent fraud, maintain service quality, or comply with applicable law. We are not obligated to publish or retain User Content.
18. Feedback
If you voluntarily provide ideas, proposals, feature requests, product suggestions, designs, or other feedback, you grant Holy Stone a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, develop, commercialize, and otherwise use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission unless permitted or required by law.
19. Copyright and Intellectual Property Complaints
If you believe content available through the Services infringes your copyright, trademark, or other intellectual property right, please contact us and provide sufficient information to identify the protected work, the allegedly infringing material, its location, your contact information, a statement of your good-faith belief, and evidence that you are authorized to act for the rights holder.
We may request additional information before acting on a complaint. Knowingly submitting a false or misleading infringement complaint may result in legal liability.
20. Privacy and Cookies
Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy and any applicable regional privacy notices. Our use of cookies, pixels, local storage, analytics technologies, advertising technologies, and similar tools is described in our Cookie Policy or cookie notice.
Where required, you may manage non-essential cookies through the cookie settings tool available on the applicable website. Your choices may be stored so that the website can remember your preferences. Essential technologies required for security, network management, shopping cart functions, authentication, fraud prevention, or other necessary operations may remain active as permitted by law.
21. Electronic Communications
When you use the Services, place an order, create an account, register a product, submit a support request, or communicate with us electronically, you consent to receive transaction-related communications electronically, including order confirmations, shipping notices, account notices, warranty communications, support responses, safety notices, product updates, and legal notices.
Marketing communications will be sent in accordance with applicable law and your communication preferences. You may unsubscribe from marketing emails using the unsubscribe method included in the message. Unsubscribing from marketing communications does not prevent us from sending necessary transactional, service, security, safety, or legal communications.
22. Availability and Service Changes
We do not guarantee that every Service, feature, product, application, download, language, region, or support channel will always be available. We may change, suspend, restrict, replace, or discontinue any part of the Services for maintenance, security, legal, technical, commercial, or operational reasons.
We will use reasonable efforts to avoid unnecessary disruption and to provide notice of material changes where appropriate and legally required. We are not responsible for interruptions caused by internet failures, hosting providers, telecommunications networks, app stores, marketplaces, payment providers, cyberattacks, maintenance, or circumstances outside our reasonable control.
23. Suspension and Termination
You may stop using the Services at any time. You may request account closure through the available account tools or by contacting us, subject to identity verification, legal retention requirements, unresolved transactions, fraud prevention, warranty administration, and other lawful purposes.
We may suspend, restrict, or terminate access to the Services if we reasonably believe that you have violated these Terms, created security or legal risk, engaged in fraud or abuse, harmed another user, interfered with the Services, or used the Services in a manner that may expose Holy Stone or another person to liability.
Where reasonable and legally required, we will provide notice and an opportunity to address the issue before termination. Sections that by their nature should survive termination will remain effective, including provisions concerning intellectual property, User Content licenses, disclaimers, liability, indemnification, disputes, and general legal terms.
24. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HOLY STONE DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS RELATING TO THE SERVICES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
HOLY STONE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY DEVICE, FREE FROM HARMFUL COMPONENTS, OR THAT ALL INFORMATION WILL ALWAYS BE COMPLETE, CURRENT, OR ACCURATE.
This section does not modify any written limited warranty provided with a Holy Stone product and does not exclude any warranty, guarantee, condition, or consumer right that cannot lawfully be excluded.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLY STONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, DISTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH LOSS OR DAMAGE WAS POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLY STONE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO HOLY STONE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED UNITED STATES DOLLARS.
These limitations do not apply to liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, intentional misconduct, or violation of mandatory consumer rights, to the extent applicable.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Holy Stone and its affiliates, officers, directors, employees, agents, licensors, distributors, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, material violation of these Terms, infringement of another person’s rights, or User Content you submit.
This indemnification obligation does not apply to the extent a claim results from Holy Stone’s own negligence, misconduct, violation of law, or breach of these Terms. Nothing in this section limits rights available to consumers under mandatory law.
27. Force Majeure
Holy Stone will not be responsible for delay or failure to perform an obligation caused by events outside its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, transportation disruption, customs delays, government action, legal restrictions, power failure, telecommunications failure, cyberattack, supplier interruption, or carrier disruption.
This section does not affect payment obligations already due or mandatory consumer remedies relating to non-delivery, cancellation, or refunds.
28. Export Controls and Sanctions
You must comply with applicable export control, import, customs, trade restriction, and economic sanctions laws. You must not purchase, export, re-export, transfer, or use products, software, technology, or Services in violation of applicable law or for prohibited end uses.
29. Dispute Resolution
Before starting formal legal proceedings, you and Holy Stone agree to make a reasonable good-faith effort to resolve the dispute informally. Please contact us with your name, contact information, order or product details where relevant, a description of the issue, and the resolution you are requesting.
Nothing in these Terms prevents either party from seeking urgent injunctive relief, using an applicable consumer dispute-resolution procedure, filing an eligible claim in small claims court, or exercising any right that cannot be waived under applicable law.
30. Governing Law and Jurisdiction
Except where mandatory law provides otherwise, these Terms and any dispute arising from or relating to them will be governed by the laws applicable to the Holy Stone entity identified under Section 1, without regard to conflict-of-law principles.
Courts having lawful jurisdiction over that Holy Stone entity and the applicable dispute will have non-exclusive jurisdiction, except where the parties agree to another lawful dispute-resolution process or applicable law requires a different forum.
If you are a consumer, nothing in these Terms deprives you of mandatory protections provided by the laws of your country or region of residence or of the right to bring proceedings in your place of residence where that right is provided by applicable law.
31. Regional Consumer Rights
These Terms apply only to the extent permitted by the laws applicable to you. Some jurisdictions do not allow certain warranty exclusions, liability limitations, governing-law provisions, or contractual restrictions. Where such laws apply, the affected provision will apply only to the maximum extent permitted.
Nothing in these Terms is intended to exclude, restrict, waive, or replace mandatory rights available to consumers under applicable law, including legal guarantees relating to product conformity, quality, durability, repair, replacement, price reduction, refund, cancellation, withdrawal, delivery, or digital content.
32. General Legal Terms
Entire Agreement. These Terms and all additional terms incorporated by reference constitute the entire agreement between you and Holy Stone regarding the Services and replace prior discussions or agreements concerning the same subject matter.
Severability. If any provision is found invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
No Waiver. A failure or delay in enforcing a provision does not waive the right to enforce it later. A waiver is effective only if made in writing by an authorized representative.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Holy Stone may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of assets, corporate reorganization, or transfer to an affiliate, subject to applicable law.
No Third-Party Beneficiaries. Except where expressly stated, these Terms do not create rights for any third party.
Headings. Section titles are provided for convenience and do not affect interpretation.
Language. Translations may be provided for convenience. To the extent permitted by law, the English version will control if there is a conflict between translations. Mandatory local-language requirements remain unaffected.
